1. Acceptance of Terms 

By accessing or using the LOTOcontrol website or Services, you (“User”, “you”) agree to these Terms of Use and any supplementing terms, including the Privacy Policy and client agreements. If you do not agree to these Terms, do not access or use our Services. 

2. Definitions 

“Services” means the software, APIs, web and mobile applications, and related services provided by LOTOcontrol. 
“Client” or “Customer” means the organization that subscribes to the Services and provisions user accounts. 
“User Account” means individual access credentials assigned to you or your organization for use of the Services. 

3. License; Permitted Use 

LOTOcontrol grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms and your client agreement. You or your organization may not copy, reverse-engineer, modify, distribute, or use the Services for any purpose other than lawful business operations. 

4. User Responsibilities 

You are responsible for maintaining the confidentiality of your login credentials and ensuring all use of your account complies with applicable laws and company policies. You agree not to misuse, interfere with, or disrupt the Services, including unauthorized access attempts or overloading system resources. 

5. Acceptable Use Policy 

You agree not to: 
• Upload or transmit any malicious code or harmful data. 
• Attempt unauthorized access or reverse-engineer any part of the Service. 
• Use the Service to violate any law, safety regulation, or third-party rights. 
• Interfere with or disrupt security or network functionality. 
• Store or process unsafe, illegal, or confidential third-party information without proper authorization. 

6. Client Data and Ownership 

Clients retain ownership of all data uploaded or created within the Services (“Client Data”). LOTOcontrol acts solely as a data processor and will handle Client Data according to the Privacy Policy and applicable laws. LOTOcontrol may collect aggregated, anonymized usage data to improve service performance and reliability. 

7. Privacy and Data Protection 

Use of personal data is governed by our Privacy Policy available at lotocontrol.com/privacy-policy. By using the Services, you agree that we may process data in accordance with that Policy and any applicable data protection laws. 

8. Fees and Payment 

Use of the Services is subject to fees as specified in your subscription or client agreement. Payments must be made in accordance with agreed billing terms. Late payments may result in interest charges or temporary suspension of access. 

9. Service Availability and Maintenance 

LOTOcontrol aims to maintain 24/7 availability of the Services, excluding planned maintenance or events beyond our control. Updates or changes may be implemented without prior notice provided they do not materially reduce functionality. 

10. Term and Termination 

These Terms remain in effect while you use the Services. Either party may terminate in accordance with the client agreement. Upon termination, your access will be revoked, and Client Data retained for up to 90 days for backup and audit purposes before permanent deletion. 

11. Intellectual Property 

All intellectual property rights in the Services, including software, designs, documentation, logos, and trademarks, remain the exclusive property of LOTOcontrol or its licensors. Nothing in these Terms grants you ownership or rights beyond the limited license provided. 

12. Warranties and Disclaimers 

We provide the Services “as is” and “as available”. LOTOcontrol makes no warranties, express or implied, including merchantability, fitness for purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation. 

13. Limitation of Liability 

To the extent permitted by law, LOTOcontrol’s total liability shall not exceed the total fees paid by the Client in the twelve (12) months preceding the claim. Neither party shall be liable for indirect, consequential, or punitive damages except as required by law. 

14. Indemnification 

You agree to indemnify and hold harmless LOTOcontrol, its officers, and employees from claims, losses, or liabilities arising from your misuse of the Services or breach of these Terms. 

15. Force Majeure 

LOTOcontrol is not responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, internet outages, labor disputes, or government actions. 

16. Changes to Terms 

We may update these Terms from time to time to reflect operational or legal changes. The latest version will be posted at lotocontrol.com/terms-of-use with an updated effective date. Continued use of the Services constitutes acceptance of the revised Terms. 

17. Governing Law and Jurisdiction 

These Terms are governed by the laws of Malaysia. Any disputes shall be resolved exclusively in the courts of Kuala Lumpur, Malaysia. 

18. Entire Agreement 

These Terms, along with any client agreement and the Privacy Policy, form the entire agreement between you and LOTOcontrol regarding the Services and supersede prior understandings.
